What is a guaranteed margin in fashion wholesale?

A wholesale agreement in which a brand promises a retailer a minimum gross margin on its products, compensating any shortfall after the season.

A guaranteed margin is a commitment by a fashion brand that a retailer will earn at least an agreed gross margin on the brand's goods. If sales at full price fall short and markdowns erode profitability, the brand compensates the retailer for the gap at the end of the season.

How does it work in practice?

The two parties agree a target margin, typically expressed as a percentage, and a method to measure it, such as sell-out data reported by the retailer. After the season, the retailer calculates the margin actually achieved on the brand's assortment. If it is below the guarantee, the brand settles the difference, usually with a credit note, a markdown allowance or goods for the next season. Some agreements cap the brand's exposure or link the guarantee to minimum order volumes.

A guaranteed margin can unlock shelf space with important retailers, but it changes the economics of the account. Predictive models help brands estimate the likely cost of a margin guarantee before signing, using historical sell-through, markdown patterns and the planned assortment. During the season, sell-out feeds analysed with machine learning flag accounts drifting below target early enough to intervene with replenishment changes, marketing support or stock transfers instead of a large payment later.
